1. Introduction

Welcome to the DENTA24 Platform. These Terms and Conditions govern your use of the DENTA24 Platform, whether through the website, application, dashboard, or any other digital or commercial channel operated by or affiliated with the Company. By using the Platform, creating an account, browsing products, placing an order, completing a purchase, or registering as a Supplier, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any other policies published on or linked to the Platform, including the Privacy Policy, the Cancellation, Refund, Shipping and Delivery Policy, and any specific terms relating to products, suppliers, warranties, payments, or shipping. If you use the Platform on behalf of a clinic, medical center, hospital, company, laboratory, or professional entity, you represent and warrant that you have the legal or administrative authority to represent and bind such entity to these Terms. If you do not agree to these Terms or to any related policy, you must not use the Platform or complete any order through it.

2. Definitions

For the purposes of these Terms, the following words and expressions shall have the meanings assigned to them below, unless the context requires otherwise:

• Platform: The website, application, dashboard, or any digital channel operated by DENTA24.
• DENTA24 / Company / We / Us / Our: DENTA24 (F.Z.C), or any representative, employee, or service provider acting for or on behalf of DENTA24.
• User / Customer / You: Any natural or legal person using the Platform, whether a dentist, clinic, medical center, hospital, laboratory, supplier, representative, authorized employee, or any professional or commercial entity dealing with DENTA24.
• Supplier: Any manufacturer, distributor, agent, trader, or third party that displays, supplies, or ships products through or via the Platform.
• Products: Equipment, devices, tools, supplies, materials, dental products, medical products, laboratory products, professional clothing, or any goods or services displayed or ordered through the Platform.
• Order: Any purchase, supply request, product reservation, quotation request, or execution request made through the Platform or through DENTA24’s official channels.
• Content: Any text, images, descriptions, prices, logos, documents, data, or information published or made available on the Platform.
• Policies: Any policy published on or linked to the Platform, including the Privacy Policy, the Cancellation, Refund, Shipping and Delivery Policy, the Cookies Policy, and any supplier policies, if applicable.
• Professional or Medical Products: Any products intended or suitable for use by qualified professionals, licensed establishments, or professional entities, including dental, laboratory, and medical products.

3. Scope of Application

These Terms apply to:

• Use or browsing of the Platform.
• Account creation and management.
• Display, ordering, or purchase of Products.
• Requests for quotations or supply.
• Registration of suppliers or commercial partners.
• Payment and invoicing.
• Shipping and delivery.
• Cancellation, refund, return, and exchange.
• Customer service and complaints.
• Any communication or transaction made through or on behalf of DENTA24.

These Terms supplement any specific terms that may appear on a Product page, quotation, Order confirmation, invoice, supplier agreement, or any other contractual document. In the event of any conflict between these Terms and a policy or specific term relating to a particular matter, the more specific policy or term shall apply to that matter, unless it conflicts with a mandatory provision of applicable law.

4. Nature of the DENTA24 Platform

DENTA24 operates as a specialized e-commerce platform through which Customers browse, order, purchase, and pay for Products offered through DENTA24. DENTA24 may source Products from, or use the services of, external Suppliers, manufacturers, distributors, shipping companies, logistics providers, payment service providers, and other third parties in order to prepare, fulfill, ship, deliver, warrant, or support an Order. The involvement of such third parties is part of DENTA24’s sourcing and fulfillment model and does not, by itself, make the Customer a direct customer of those third parties or convert DENTA24 into a mere listing marketplace or referral service. Unless a Product page, quotation, or Order confirmation expressly identifies a different contracting seller before the Customer places the Order, the Customer’s purchase is made through DENTA24 and DENTA24 remains the Customer-facing commercial party for the administration of the Order, subject to these Terms and the applicable Policies. DENTA24 does not provide medical, therapeutic, or diagnostic services through the Platform. The display of Products or any technical, training, or informational content shall not be considered medical or therapeutic advice, nor a substitute for professional advice or manufacturer instructions.

5. Merchant and Fulfillment Responsibility

When a Customer places and DENTA24 accepts an Order through the Platform or an official DENTA24 sales channel, the Customer is purchasing through DENTA24. DENTA24 remains the Customer’s primary point of contact for Order administration and customer service, including payment follow-up, fulfillment coordination, shipping communication, complaints, returns, refunds, exchanges, and warranty coordination, as applicable under the relevant Policy. DENTA24 may appoint or rely on third-party Suppliers, manufacturers, distributors, warehouses, shipping carriers, logistics providers, or other service providers to source, prepare, pack, ship, deliver, install, warrant, or otherwise support Products. The use of such third parties is a fulfillment arrangement and does not, by itself, transfer DENTA24’s customer-service responsibility to the third party or require the Customer to pursue the third party directly. Where a manufacturer or Supplier warranty, technical support procedure, regulatory requirement, or carrier claim applies, DENTA24 may coordinate the matter with the relevant third party and may require the Customer to provide documents, evidence, serial numbers, photographs, inspection reports, or other information reasonably necessary to process the claim. The underlying warranty or third-party service may remain subject to the applicable manufacturer, Supplier, carrier, or service-provider terms, but DENTA24 will remain the Customer’s coordination and communication point unless otherwise expressly agreed in writing. Nothing in this section makes DENTA24 responsible for acts or omissions of independent third parties that are genuinely beyond DENTA24’s reasonable control, nor does it create an additional product warranty beyond any warranty expressly provided by DENTA24, the manufacturer, the Supplier, or mandatory law. However, reliance on third-party fulfillment shall not be used to avoid DENTA24’s obligations to manage the Customer relationship, communicate material Order issues, and process complaints or remedies in accordance with these Terms, the applicable Policies, and mandatory law.

6. Eligibility and Authority

By using the Platform, you represent and warrant that:

• You are of legal age to contract under applicable law.
• You have the legal capacity to use the Platform and place Orders.
• You use the Platform for lawful and legitimate purposes.
• You provide accurate, correct, and up-to-date information.
• If you represent an establishment or professional entity, you are legally or administratively authorized to act on its behalf.
• You will not use the Platform in any manner that harms DENTA24, Users, Suppliers, or any third party.
• You have the professional or commercial status, authorization, or license required when ordering Products intended for professional, medical, or institutional use.

DENTA24 may refuse account creation, suspend or terminate any account or Order if it identifies a breach of these Terms, unlawful use, inaccurate information, or conduct that may harm the Platform, its interests, Users, or Suppliers.

7. Accounts and Passwords

Certain Platform services may require account creation. The User shall:

• Provide accurate and correct information upon registration.
• Update account information whenever changes occur.
• Maintain the confidentiality of the username, password, and any verification codes.
• Refrain from sharing login details with any unauthorized person.
• Notify DENTA24 immediately if any unauthorized use of the account is suspected.

The User shall be responsible for all activities carried out through their account, unless it is proven that the unauthorized use resulted directly from DENTA24’s fault. DENTA24 may, at its reasonable discretion, suspend, restrict, or close an account in the event of a breach of these Terms, suspected misuse, fraud, or any unlawful or unprofessional activity.

8. Accuracy of User-Provided Information

The User must provide accurate, complete, and up-to-date information, including account details, establishment details, billing details, shipping details, contact details, and licensing or authorization documents where required. DENTA24 shall not be responsible for any delay or failure in Order fulfillment, shipping, invoicing, or communication where such delay or failure results from incomplete, incorrect, or outdated information provided by the User. The User shall bear any costs, fees, or losses resulting from incorrect or incomplete information, including re-shipping fees, storage fees, customs charges, delays, refusal of delivery, or return of shipment.

9. Permitted Use of the Platform

The Platform must be used only for lawful purposes and in accordance with these Terms and applicable laws. The User is prohibited from:

• Using the Platform for any unlawful or fraudulent activity.
• Providing misleading or false information.
• Impersonating any person or entity.
• Attempting unauthorized access to Platform systems.
• Copying, extracting, or reusing Platform Content without authorization.
• Uploading viruses, malicious code, or disabling tools.
• Disrupting the operation or security of the Platform.
• Using the Platform for unfair competition or to collect Supplier or Customer data.
• Sending spam or inappropriate content.
• Using Products contrary to law, manufacturer instructions, or professional requirements.
• Using the Platform to purchase Products for which the User lacks the required status, license, or authorization to purchase, import, or use.
• Misusing cancellation, refund, complaint, or return policies, or submitting false claims.

10. Products and Displayed Information

DENTA24 seeks to display Product information clearly and professionally, including descriptions, images, specifications, prices, availability, shipping terms, and warranty details where possible. However, the User acknowledges that:

• Images may be for illustrative purposes.
• Specifications may be changed by the manufacturer or Supplier.
• Product availability and prices may change before Order confirmation.
• Certain data may be based on information provided by Suppliers or manufacturers.
• Certain Products may require additional verification, regulatory approvals, or special documents.
• Unintentional errors in display, pricing, or description may occur, and DENTA24 may correct them before confirming or fulfilling the Order.

The Customer must carefully review Product details before placing an Order and request clarification before purchase if any essential specification or specific use is required.

11. Medical, Dental, and Professional Products

The User acknowledges that certain Products displayed on the Platform are medical, dental, laboratory, or professional Products, and may be intended for use by licensed or qualified physicians, technicians, or establishments. DENTA24 does not provide medical, therapeutic, or diagnostic advice through the Platform. Any technical information, Product description, training content, or marketing content is provided for commercial, informational, or general educational purposes and does not replace manufacturer instructions, qualified professional advice, or applicable laws and regulations. The User is responsible for ensuring that the Product is suitable for their professional or commercial use, and that they have the required license, status, or expertise to use, purchase, import, or trade such Product.

12. Permits, Licenses, and Import Requirements

Certain Products may be subject to regulatory, health, customs, or professional requirements in the United Arab Emirates or in the country of delivery or use. The Customer is responsible for verifying that the Product may be legally imported, traded, and used in the country of delivery, and that they possess or can obtain any required licenses, permits, or approvals. DENTA24 may request additional documents before accepting or fulfilling an Order, such as:

• Medical facility license.
• Professional license.
• Import permit.
• Health or regulatory approval.
• Proof of professional status.
• Any documents required by the Supplier, shipping carrier, or competent authorities.

DENTA24 may refuse, suspend, or cancel any Order if it becomes apparent that the Product cannot be legally sold, shipped, imported, or used, or if the Customer fails to provide the required documents within a reasonable period. DENTA24 shall not be liable for any rejection, detention, confiscation, or delay of shipment due to the laws of the Customer’s country or missing licenses, permits, or documents that fall within the Customer’s responsibility.

13. Orders and Confirmation

An Order shall be considered an offer to purchase from the Customer until it is accepted or confirmed by DENTA24 or the relevant Supplier. DENTA24 may refuse or cancel any Order before confirmation in the following cases:

• Product unavailability.
• Pricing or description error.
• Incomplete Customer details.
• Incomplete payment.
• Regulatory or customs restrictions.
• Suspected unlawful or fraudulent use.
• Supplier inability to fulfill the Order.
• Failure to provide required documents.
• Any legitimate commercial or legal reason.

An Order shall be deemed confirmed when an Order confirmation is issued, the required payment is received, or preparation begins by DENTA24 or the Supplier, as applicable. After Order confirmation, cancellation or amendment may be subject to restrictions and costs in accordance with the Cancellation, Refund, Shipping and Delivery Policy, Supplier terms, and the nature of the Product.

14. Prices, Currencies, and Taxes

Prices are displayed on the Platform in the currency specified on the Product page, invoice, or Order confirmation. Shipping cost depends on the destination, Product, shipment characteristics, and shipping method. Where technically available, the estimated shipping charge is displayed during checkout before payment. Unless expressly stated otherwise, customs duties, taxes, import fees, clearance fees, banking fees, and other governmental or third-party charges in the delivery country may be separate and may not be included in the checkout estimate. DENTA24 may adjust prices or estimated charges before Order confirmation if an error occurs, or if the Supplier’s price, shipping fees, taxes, customs duties, or exchange rates change. If actual third-party shipping, customs, clearance, or tax charges change after Order confirmation for reasons outside DENTA24’s reasonable control, DENTA24 shall inform the Customer and may require payment of the documented difference before shipment or delivery is completed, to the extent permitted by applicable law. If a clear error is identified in price, fees, or availability, DENTA24 may cancel the Order or amend the offer and notify the Customer of the available options. DENTA24 shall not be responsible for currency differences, bank fees, payment gateway fees, or external charges, unless otherwise required by law or agreed in writing.

15. Payment

Payment shall be made through the methods made available on the Platform or approved by DENTA24, such as bank cards, bank transfers, payment gateways, or any other approved method. Payment transactions may be subject to the terms of payment service providers, banks, or relevant financial institutions. DENTA24 shall not be responsible for any fees, delays, refusals, or errors caused by the bank, payment gateway, or independent service provider, except to the extent required by law or DENTA24’s agreement with such party. The Order shall not be binding for fulfillment until the payment or required deposit is confirmed in accordance with the Order terms. DENTA24 may suspend Order fulfillment if there are indicators of fraud, payment dispute, unjustified chargeback request, or any financial or banking issue related to the Order.

16. Invoices and Records

DENTA24 or the Supplier, depending on the nature of the transaction, shall issue an invoice, receipt, or appropriate commercial document for the Order. The Customer must review invoice details and notify DENTA24 of any error within a reasonable period. DENTA24 may retain records of Orders, invoices, payments, and communications in accordance with legal, tax, accounting, and regulatory requirements. DENTA24 shall comply, to the extent applicable, with disclosure, invoicing, and contracting information requirements applicable in the United Arab Emirates, taking into account the nature of the Customer, Product, and transaction.

17. Cancellation, Refund, and Return

All requests for cancellation, refund, return, or exchange are subject to the Cancellation, Refund, Shipping and Delivery Policy published on the Platform, which forms an integral part of these Terms. Return eligibility depends on the Product type, condition, Order status, and the circumstances giving rise to the request. Certain medical, dental, laboratory, and professional Products may be non-cancellable, non-returnable, or non-exchangeable because of their hygienic, sterile, technical, regulatory, logistical, or custom-order nature. However, defective, damaged, incorrectly supplied, or materially non-conforming Products may qualify for return, exchange, replacement, or refund under the Cancellation, Refund, Shipping and Delivery Policy, subject to the applicable notification, evidence, inspection, and return conditions and any mandatory rights under applicable law. In the event of any conflict between these Terms and the Cancellation, Refund, Shipping and Delivery Policy concerning cancellation, return, refund, or shipping, the more specific policy shall apply, unless it conflicts with a mandatory provision of law.

18. Shipping and Delivery

Shipping and delivery are subject to the Cancellation, Refund, Shipping and Delivery Policy and any specific terms appearing on the Product page, during checkout, in the Order confirmation, or on the invoice. International delivery is available where the relevant Product can lawfully and operationally be shipped to the destination. Delivery time and shipping cost depend on the destination, Product, availability, shipping method, Supplier location, and any applicable customs, import, or regulatory requirements. Estimated delivery information and shipping charges are shown during checkout where technically available and may also be stated on the Product page or in the Order confirmation. Any delivery period or shipping charge displayed before shipment is an estimate unless expressly stated as final. An estimated delivery period shall not constitute a guaranteed delivery date unless DENTA24 expressly confirms such date in writing. Please refer to the Cancellation, Refund, Shipping and Delivery Policy for the detailed shipping terms. The Customer is responsible for providing a complete and accurate address, responding to requests from the shipping carrier or DENTA24, and providing any documents required for clearance or receipt. DENTA24 shall not be liable for delays, fees, or failure of delivery caused by incorrect or incomplete information, Customer delay, customs, regulatory authorities, shipping companies, or circumstances beyond DENTA24’s control. If the Customer refuses delivery, fails to provide required documents, or delivery fails due to the Customer’s fault, the Customer shall bear all resulting costs, including storage fees, re-shipping fees, customs fees, or any other charges.

19. External Suppliers and Fulfillment Partners

DENTA24 may source, prepare, fulfill, or ship Products using external Suppliers, manufacturers, distributors, warehouses, shipping carriers, logistics providers, or other fulfillment partners. In such cases:

• Certain Product information may originate from the manufacturer or Supplier.
• Availability and preparation time may depend on the Supplier or fulfillment partner.
• Manufacturer warranty or technical support may remain subject to the applicable manufacturer or Supplier terms.
• Certain return, exchange, warranty, carrier, or inspection procedures may require the participation or approval of the relevant third party.
• DENTA24 remains the Customer’s primary communication and customer-service point for the Order unless a different contracting arrangement was expressly disclosed and accepted before the Order was placed.

The use of an external Supplier or fulfillment partner does not relieve DENTA24 of its obligation to manage the Customer relationship, provide reasonable Order follow-up, communicate material issues, and handle complaints and applicable remedies under the published Policies and applicable law. DENTA24 shall not be liable for an independent third party’s act, omission, delay, defect, or breach to the extent genuinely beyond DENTA24’s reasonable control. Nevertheless, DENTA24 will coordinate with the relevant third party and the Customer in good faith to investigate and process the matter in accordance with the applicable Policy.

20. Warranty and After-Sales Service

Certain Products may be subject to a manufacturer or Supplier warranty, depending on the nature of the Product and its accompanying terms. Unless expressly stated otherwise, DENTA24 does not provide any independent additional warranty beyond the Supplier’s or manufacturer’s warranty or any mandatory warranties required by law. Warranty coverage typically does not include defects or faults arising from:

• Misuse.
• Improper installation.
• Improper storage.
• Use by an unqualified person.
• Failure to follow manufacturer instructions.
• Unauthorized modification or maintenance.
• Damage occurring during transportation after delivery.
• Use of the Product for an unintended purpose.
• Use of the Product contrary to professional or regulatory requirements.

The Customer must retain the invoice, serial number, warranty documents, and any documents necessary to submit a warranty claim.

21. Professional Content and Information

DENTA24 may provide content related to Products, uses, training, comparisons, or professional information. Such content is provided for general, commercial, informational, and training purposes only. It shall not be considered binding medical or technical advice, therapeutic recommendation, or a substitute for professional advice or manufacturer instructions. The User is responsible for verifying Product suitability for their use and for following applicable instructions, professional standards, and legal requirements. DENTA24 shall not be liable for improper reliance on general or descriptive content where the User has failed to refer to manufacturer instructions, qualified professionals, or applicable legal and regulatory requirements.

22. Training and Educational Content

DENTA24 may provide or coordinate trainings, workshops, educational content, or product presentations related to Products, equipment, supplies, or professional topics. The User acknowledges that any training or educational content is provided for general professional and informational purposes and shall not constitute a license, permit, or certificate of competency to use any specific Product unless expressly stated in writing. The User is responsible for using Products in accordance with manufacturer instructions, professional licensing requirements, and applicable regulations in the country of use. DENTA24 may amend training dates, cancel training, replace the lecturer, or change the delivery method if operational circumstances require, while making reasonable efforts to notify participants.

23. Intellectual Property

All intellectual property rights relating to the Platform and its Content are owned by or licensed to DENTA24, including, without limitation:

• Trademarks.
• Logos.
• Designs.
• Texts.
• Images.
• Graphics.
• User interfaces.
• Databases.
• Software.
• Marketing or training materials.

The User may not copy, reproduce, modify, publish, or use any part of the Platform or its Content for commercial or competitive purposes without the prior written consent of DENTA24 or the relevant rights holder. Use of the Platform does not grant the User any ownership right or implied license in trademarks, logos, Content, or software, except to the extent necessary to use the Platform in accordance with these Terms.

24. User and Supplier Content

If the User or Supplier uploads or submits any content to the Platform, such as product images, descriptions, documents, certificates, or reviews, they represent that they have the right to provide such content and that its use does not infringe the rights of any third party. The User grants DENTA24 a non-exclusive license to use such content to the extent necessary to operate the Platform, display Products, fulfill Orders, conduct legitimate marketing, and improve the service. DENTA24 may remove, modify, or reject any content if it considers it inaccurate, misleading, unlawful, in breach of these Terms, or infringing the rights of others. The Supplier or User shall be responsible for the accuracy and completeness of any content, documents, images, certificates, or data provided to DENTA24 or published through the Platform.

25. Ratings and Reviews

The Platform may allow Users to submit ratings, reviews, or comments. The User must ensure that reviews are genuine and not misleading, and that they do not include abuse, defamation, confidential information, or content that violates the law or the rights of others. DENTA24 may delete or refuse to publish any rating or comment if it considers it in breach of these Terms, inappropriate, or unsupported, without being obligated to publish all reviews. DENTA24 shall not be responsible for the content of reviews published by Users, but reserves the right to manage and remove them in accordance with its policies and applicable law.

26. Privacy and Data Protection

Processing of personal and professional data is subject to the Privacy Policy published on the Platform, which forms an integral part of these Terms. By using the Platform, the User acknowledges that they have reviewed the Privacy Policy and understood how data is collected, used, shared, and retained to the extent necessary to operate the Platform, fulfill Orders, and comply with the law. The User must not submit any unnecessary patient data or personal health information through the Platform.

27. Messages and Electronic Communications

The User agrees that DENTA24 may communicate with them via email, phone, SMS, messaging applications, or Platform notifications for operational purposes, including:

• Account confirmation.
• Order confirmation.
• Payment updates.
• Shipping updates.
• Requests for additional documents or information.
• Customer service.
• Legal or security notices.
• Messages relating to invoices, warranties, or complaints.

Marketing communications shall be sent in accordance with the Privacy Policy and any legally required consents.

28. Offers and Discounts

DENTA24 may provide offers, discounts, or promotional campaigns from time to time. Offers are subject to their specified terms, including duration, eligible Products, available quantity, country, payment method, and any other restrictions. DENTA24 may amend or cancel any offer before Order acceptance if there is an error, misuse, stock unavailability, or legitimate commercial reason, subject to applicable law. Discounts or offers may not be combined unless DENTA24 expressly states otherwise.

29. Platform Availability

DENTA24 seeks to operate the Platform in a stable and secure manner, but does not guarantee that the Platform will be available at all times without interruption, errors, or failures. Access to the Platform may be temporarily suspended or restricted for maintenance, updates, security, operational, technical, or other reasons beyond DENTA24’s control. DENTA24 shall not be liable for any loss arising from temporary interruption, technical fault, or disruption in internet, hosting, or third-party services, except to the extent required by law.

The Platform may contain links or integrations with external websites or services, such as payment gateways, shipping companies, Supplier websites, or government authorities. DENTA24 does not control the content, policies, or practices of such independent parties and shall not be responsible for any use or transaction carried out outside the Platform. Users are advised to review the terms and policies of any third party before using its services.

31. Force Majeure

DENTA24 shall not be liable for any delay or failure in performance resulting from circumstances beyond its reasonable control, including, without limitation:

• Natural disasters.
• Wars or disturbances.
• Epidemics or health emergencies.
• Government restrictions.
• Strikes or supply chain disruptions.
• Shipping carrier failures.
• Customs delays.
• Internet or power outages.
• Major technical failures.
• Supplier or manufacturer decisions or restrictions.
• Any other cause beyond reasonable control.

In such cases, DENTA24 may suspend, postpone, or modify the performance of affected obligations until the cause ceases or a commercially suitable alternative solution is found.

32. Limitation of Liability

To the maximum extent permitted by law, DENTA24 shall not be liable for:

• Indirect or consequential losses.
• Loss of profits or opportunities.
• Business interruption.
• Data loss caused by matters beyond its control.
• Product misuse.
• Unsuitability of a Product for a purpose not expressly confirmed.
• Errors of Suppliers, shipping companies, or payment gateways beyond DENTA24’s control.
• Shipping delays or rejection by customs or regulatory authorities.
• Fees or costs imposed by third parties.
• Use of a Product by an unqualified person or contrary to manufacturer instructions.

In all cases, except where liability may not legally be limited, DENTA24’s liability shall not exceed the amount actually paid for the disputed Product, excluding non-refundable external charges such as shipping, customs, taxes, or banking fees. Nothing in these Terms is intended to exclude or limit any liability that cannot be excluded or limited under mandatory law.

33. Indemnity

The User shall indemnify and hold DENTA24 harmless from and against any claims, losses, damages, costs, or expenses arising from:

• Any claim arising from the use of a Product after delivery contrary to manufacturer instructions or professional requirements.

This indemnity shall not apply to damages arising directly from DENTA24’s gross negligence or proven legal violation.

34. Suspension or Termination of Use

DENTA24 may suspend, terminate, or restrict the User’s access to the Platform if the User:

• Breaches these Terms or Policies.
• Uses the Platform unlawfully or harmfully.
• Provides false or misleading information.
• Fails to pay amounts due.
• Misuses return rights or complaint processes.
• Attempts to hack or disrupt the Platform.
• Causes harm or risk to DENTA24, Users, or Suppliers.
• Uses the Platform in a manner that may expose DENTA24 to legal, regulatory, financial, or operational risks.

Termination of the account shall not affect prior obligations, existing Orders, or rights accrued before the date of termination.

35. Complaints and Dispute Resolution

Any complaint or claim relating to the Platform or Orders must be submitted through DENTA24’s official channels, with the Order number and supporting documents. DENTA24 will seek to review complaints in good faith and in a professional manner within a reasonable period. The User may not publish misleading, defamatory, or abusive allegations before giving DENTA24 a reasonable opportunity to review and respond to the complaint, without prejudice to any mandatory legal right of the User. If the dispute is not resolved amicably, the applicable law and competent authority shall apply in accordance with these Terms.

36. Amendment of Terms

DENTA24 may amend these Terms from time to time to reflect legal, operational, technical, or commercial developments. The updated version will be published on the Platform with the latest update date. Continued use of the Platform after publication of the amendments shall be deemed acceptance of the updated Terms, unless the law requires an additional action or consent. Amendments shall not affect previously confirmed Orders except to the extent permitted by law or agreed by the parties.

37. Severability

If any provision of these Terms is found to be invalid or unenforceable under the law, this shall not affect the validity or enforceability of the remaining provisions. The invalid or unenforceable provision shall be interpreted or amended to the extent necessary to make it enforceable while achieving, as far as possible, the intended commercial and legal purpose.

38. No Waiver

DENTA24’s failure or delay in exercising any right shall not constitute a waiver of that right. Any waiver of a right must be express and in writing in order to be binding.

39. Relationship Between the Parties

Nothing in these Terms shall be interpreted as creating a partnership, agency, employment, or legal representation relationship between DENTA24 and the User, unless expressly agreed otherwise in writing. If the User is a Supplier, its relationship with DENTA24 shall be governed by these Terms and any supplier agreement or specific terms agreed between the parties.

40. Notices

DENTA24 may send notices or communications relating to these Terms, Orders, or accounts via email, SMS, messaging applications, Platform notifications, or any contact method provided by the User. A notice shall be deemed properly sent if sent to the contact details registered with DENTA24, unless the User proves that they updated their details and such update was not considered due to DENTA24’s fault.

41. Language

These Terms have been prepared in Arabic. An English translation or translation into any other language may be provided for convenience. In the event of any conflict between the Arabic version and any translation, the Arabic version shall prevail, unless DENTA24 expressly states otherwise.

42. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the applicable laws and regulations of the Emirate of Ajman, unless mandatory applicable laws provide otherwise. The courts or competent authorities of the United Arab Emirates, and the Emirate of Ajman where applicable, shall have jurisdiction over any dispute arising from these Terms, the use of the Platform, or Orders placed through DENTA24, unless another dispute resolution mechanism is agreed in writing.
